Community Terms of Use for Termsetters

1. Parties and scope

1.1 These Community Terms of Use ("Community Terms") govern your use of the online community operated by Kaleidoscope GmbH, an Austrian registered company (198433p) at Erdbergstrasse 10/66, 1030 Vienna, Austria ("we", "us", "our") and hosted on the service provided Swarm, a brand operated by Growth Maps Media Ltd, a UK registered company (14823630) at 727-729 High Road, London, England, N12 0BP ("[SWARM PROVIDER]").

1.2 These Community Terms apply in addition to:

  • Our main Hosting Contract or Support and Maintenance Contract ("Service Terms")
  • Our Privacy Policy
  • Any separate Data Processing Agreement, NDA, or commercial contract we have with your organisation

1.3 If there is a conflict between these Community Terms and the Service Terms, the Service Terms prevail for your use of our services.

2. Eligibility and access

2.1 The community is intended for business users only. You may only access and use the community if:

  • You are at least 18 years old; and
  • You are an authorised user of a customer, partner, or trial account under our Service Terms.

2.2 You must keep your login credentials confidential and not share them with others. You are responsible for all activity under your account.

2.3 We may suspend or terminate your community access at any time if you breach these Community Terms, the Service Terms, or applicable law.

3. Relationship with Swarm

3.1 The community is technically provided on top of Swarm.

3.2 Swarm acts as a separate controller/processor of certain personal data as described in its own legal documents.

3.3 Your use of the underlying Swarm service is also subject to Swarm's own terms and policies, which we do not control.

3.4 We remain responsible for how we configure and moderate our specific community space; Swarm remains responsible for the general platform.

4. Acceptable use

4.1 You must use the community only for legitimate business purposes in connection with our services.

4.2 You must not use the community to:

  • Violate any applicable law (including EU and Austrian law)
  • Harass, threaten, or discriminate against others
  • Disseminate illegal, defamatory, or obscene content
  • Upload viruses, malware, or other harmful code
  • Attempt to gain unauthorised access to any systems or data
  • Send spam, unsolicited advertising, or promotional messages, except in designated areas

5. Confidentiality and commercial information

5.1 Your existing confidentiality obligations under our Service Terms, NDAs, and commercial agreements remain fully applicable to your use of the community.

5.2 You must not post or disclose in the community:

  • Individual contract terms, negotiated pricing, discounts, or bespoke SLAs
  • Internal commercial strategies, forecasts, or other trade secrets
  • Confidential information belonging to your organisation, your customers, or third parties

5.3 If you inadvertently post confidential information, notify us without undue delay at termsetters@kaleidoscope.at, and we will use reasonable efforts to assist with removal. We cannot guarantee complete deletion from all backups or archives.

6. User content and licence

6.1 You remain the owner of the content you post (questions, replies, examples, documents, code, etc.) ("User Content").

6.2 By posting User Content, you grant us a nonexclusive, worldwide, royaltyfree licence to use, host, reproduce, adapt, and display such User Content in connection with:

  • Operating and improving the community
  • Providing and improving our services
  • Creating anonymised or aggregated knowledge resources (e.g. FAQs, documentation)

6.3 To the extent permitted by law, you warrant that:

  • You have all rights necessary to post the User Content and to grant the above licence
  • The User Content does not infringe the rights (including intellectual property, privacy, or personality rights) of any third party

6.4 You may request deletion of certain User Content. We will honour such requests where feasible, but copies may remain in backups or where already incorporated (for example, in anonymised form in internal materials).

7. Data protection

7.1 We process personal data in the community in accordance with our Privacy Policy and applicable EU and Austrian data protection law (in particular the GDPR and the Austrian Data Protection Act).

7.2 You must not use the community to share special categories of personal data (e.g. health data or criminal offence data).

7.3 You are responsible for ensuring that any personal data you share complies with your own legal obligations and internal policies.

8. Product information, feedback and support

8.1 Any information about our products shared in the community (including roadmap information) is provided for general information only and does not constitute a binding commitment unless explicitly stated in a separate written agreement.

8.2 If you provide feedback or suggestions through the community, you grant us a nonexclusive, worldwide, royaltyfree licence to use such feedback for any purpose connected with our business.

8.3 The community does not replace our official support channels. We do not guarantee a response to any particular post, nor any specific response time.

9. Moderation and enforcement

9.1 We may monitor and moderate the community, but we are not obliged to do so continuously.

9.2 We reserve the right, at our reasonable discretion, to:

  • Remove or edit User Content that appears to violate these Community Terms, the Service Terms, or applicable law
  • Restrict or suspend your access to the community
  • In serious cases, take further action under the Service Terms, including suspension or termination of your organisation's account

9.3 If you believe that moderation action is unjustified, you may contact termsetters@kaleidoscope.at. We will review the decision, but we are not required to change it.

10. Thirdparty services and links

10.1 The community may contain links to thirdparty websites or services or allow you to embed thirdparty content.

10.2 We are not responsible for thirdparty websites or services and have no control over their content, terms, or privacy practices. Your use of such thirdparty services is at your own risk and subject to their respective terms.

11. Liability

11.1 The community is provided "as is" and "as available." We use reasonable care and skill in operating the community but do not warrant uninterrupted or errorfree availability.

11.2 To the extent permitted by applicable law:

  • We are not liable for any loss or damage arising from your reliance on User Content posted by other members.
  • We are not liable for any indirect or consequential losses solely arising from your use of the community.

11.3 Any limitation or exclusion of liability in our Service Terms also applies, mutatis mutandis, to your use of the community.

12. Indemnification

12.1 You agree to indemnify and hold us, and our respective parents, subsidiaries, affiliates, officers and employees, harmless from any liabilities, claims, expenses or demands, including reasonable attorneys' fees and costs, made by any third party due to or arising out of:

  • your use or misuse of the Site or Services
  • the viewing of your content or video
  • the violation of laws, rules, regulations or terms this Agreement
  • your failure to comply with our terms of service or other terms of any open source licenses, if applicable
  • infringement by your content, by you, or by someone using your account, of any intellectual property or any other right of any person or entity.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

13. Governing law and jurisdiction

13.1 These Community Terms are governed by the laws of Austria, without regard to conflictoflaw rules.

13.2 The courts of Vienna, Austria shall have exclusive jurisdiction for any disputes arising from or in connection with these Community Terms, subject to any mandatory provisions of applicable law.

14. Changes to these Community Terms

14.1 We may amend these Community Terms from time to time, for example to reflect changes in law, our services, or the community.

14.2 We will notify you of material changes through the community or by email. If you continue using the community after the changes take effect, you are deemed to have accepted the updated Community Terms.
